Terms of Service

GamePro Live is an online platform that connects sports organizations, leagues, tournaments, schools, recreation departments, gyms, camps, and other organizations ("League Members") with independent referees, officials, umpires, and sports personnel ("Officials").

GamePro Live facilitates scheduling, communication, assignments, ratings, and payment tracking. Unless expressly stated otherwise, KKJM Tech Ltd. is not a party to agreements entered into between League Members and Officials.

To use GamePro Live you must:

• Be at least 18 years of age, or have appropriate legal authorization where permitted by law.
• Provide accurate registration information.
• Maintain the security of your account.
• Comply with all applicable laws.

KKJM Tech Ltd. reserves the right to refuse service or suspend accounts at its sole discretion.

Users may register as:

• Official Member
• League Member
• Platform Administrator (authorized personnel only)

You are responsible for:

• Maintaining the confidentiality of your password.
• All activity occurring under your account.
• Promptly notifying us of unauthorized access.

You agree not to share your account credentials.

GamePro Live provides technology to facilitate sports assignments.

KKJM Tech Ltd. does not:

• Employ Officials.
• Employ League Members.
• Supervise games.
• Guarantee assignments.
• Guarantee payment.
• Guarantee performance of any user.

League Members and Officials remain solely responsible for their own contractual, legal, employment, tax, insurance, licensing, and regulatory obligations.

League Members agree to:

• Post accurate game information.
• Provide correct locations and schedules.
• Specify compensation clearly.
• Maintain safe sporting environments.
• Treat Officials professionally.
• Submit honest performance reviews.
• Mark games as completed accurately.
• Pay Officials according to agreed arrangements where applicable.

League Members may not knowingly post fraudulent assignments.

Officials agree to:

• Maintain accurate profile information.
• Maintain required certifications.
• Arrive on time.
• Conduct themselves professionally.
• Officiate games fairly.
• Maintain respectful communication.
• Complete accepted assignments unless prevented by emergency circumstances.

Officials remain responsible for ensuring they possess any certifications or licenses required by governing sports organizations.

Officials acknowledge that officiating and participating in sporting events involves inherent risks, including physical contact, falls, collisions, travel-related incidents, personal injury, serious injury, disability, and death.

Officials accept assignments and participate in sporting events at their own risk and are responsible for determining and maintaining any personal accident, health, disability, liability, or other insurance coverage they consider necessary or that may be required by a League Member, governing body, venue, or applicable law.

Unless expressly stated otherwise in writing, KKJM Tech Ltd. and GamePro Live do not provide Officials with personal accident, health, disability, workers' compensation, or other insurance coverage solely as a result of an Official registering with the Platform or accepting an assignment through the Platform.

To the fullest extent permitted by applicable law, KKJM Tech Ltd. and GamePro Live are not responsible for injuries, illness, disability, death, property damage, or other losses arising from an Official's participation in, travel to or from, or performance of an assignment, except to the extent liability cannot lawfully be excluded or limited.

Following completed assignments, League Members may submit performance reviews.

Reviews may include:

• Game Control
• Rule Knowledge
• Communication
• Professionalism
• Written feedback

Users agree that reviews should be:

• Honest
• Accurate
• Respectful
• Based on actual experience

KKJM Tech Ltd. may investigate, edit, remove, or moderate reviews that violate these Terms or Community Guidelines. Repeated abuse of the review system may result in account suspension.

GamePro Live may facilitate payment tracking and, where supported, payment processing through authorized third-party payment providers.

Platform fees, subscription fees, or transaction fees may apply.

KKJM Tech Ltd. is not responsible for:

• Banking errors
• Payment processor outages
• Incorrect banking information submitted by users
• Tax obligations of users

Users remain responsible for applicable taxes and financial reporting.

By accepting an assignment through GamePro Live, an Official enters into a binding commitment to fulfill that assignment unless it is cancelled in accordance with the Platform's policies or the Official is unable to attend due to a verified emergency.

If an Official fails to attend an accepted assignment without an approved cancellation or verified emergency, KKJM Tech Ltd. may assess a no-show fee on behalf of itself or the applicable League Member, in accordance with the GamePro Live Fee Schedule and these Terms.

Any fees or other amounts owed under these Terms become due immediately upon notice unless a different payment deadline is specified. If payment is not received by the applicable due date, KKJM Tech Ltd. may suspend or terminate the user's account, restrict access to the Platform, withhold future payouts where permitted by applicable law or user agreement, and, after providing reasonable notice and an opportunity to dispute the charge, refer the outstanding balance to a licensed third-party collections agency or pursue any other lawful means of recovering the debt, where permitted by applicable law.

Users are responsible for keeping their contact information current and agree to cooperate in resolving any outstanding balance.

GamePro Live keeps a permanent record of cancellations and confirmed no-shows on each Official's account. This reliability history is separate from any amount owed. Paying, disputing, reducing or having a fee waived settles the balance only — it does not remove the underlying cancellation or no-show from the record.

While an Official has an outstanding balance above $0, that Official may not request, claim or accept new assignments. Access to the rest of the Platform — including schedules, history, messages and support — remains available. Eligibility is restored automatically once the balance reaches $0.

The following fees and payment policies apply to all users of the GamePro Live Platform and form part of these Terms of Service.

Certain Platform features may require a paid subscription.

Subscription plans may include:

• Free
• Pro
• Enterprise (future)

Subscription fees may change with reasonable notice. Failure to pay subscription fees may result in reduced Platform functionality.

GamePro Live may require users to submit:

• Government-issued identification
• Certifications
• Background checks
• Police record checks
• Insurance documentation

Verification does not constitute a guarantee of competence, honesty, or suitability. KKJM Tech Ltd. reserves the right to approve, reject, or revoke verification status.

Where enabled, GamePro Live may use GPS or device location information to:

• Verify attendance
• Confirm check-in
• Display nearby games
• Improve scheduling
• Prevent fraud

Location information is collected only as required to provide Platform features.

Users may not:

• Provide false information.
• Create fake accounts.
• Impersonate another person.
• Circumvent Platform security.
• Upload malicious software.
• Harass or threaten other users.
• Submit fraudulent reviews.
• Manipulate ratings.
• Misrepresent certifications.
• Attempt unauthorized access to Platform systems.
• Use GamePro Live for unlawful purposes.

KKJM Tech Ltd. may suspend or terminate accounts for reasons including:

• Fraud
• Abuse
• Harassment
• Repeated no-shows
• False ratings
• Safety concerns
• Violation of these Terms
• Illegal activity

Termination may occur without prior notice where necessary to protect users or the Platform.

All Platform content including:

• Logos
• Software
• Design
• Graphics
• User interface
• Trademarks
• Databases

remain the exclusive property of KKJM Tech Ltd. unless otherwise stated. Users may not reproduce or distribute Platform content without written permission.

Users retain ownership of content they upload.

By uploading content, users grant KKJM Tech Ltd. a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and use such content solely for operating, improving, promoting, and maintaining the Platform.

Users warrant they have the rights necessary to upload such content.

Your use of GamePro Live is also governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and disclosure of information as described in that policy.

KKJM Tech Ltd. strives to maintain Platform availability but does not guarantee uninterrupted service.

The Platform may be unavailable due to:

• Maintenance
• Software updates
• Third-party outages
• Internet disruptions
• Security incidents

To the fullest extent permitted by law, KKJM Tech Ltd., its directors, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of the Platform.

This includes, but is not limited to:

• Missed assignments
• Lost income
• Scheduling conflicts
• Personal injury
• Property damage
• User disputes
• Data loss
• Service interruptions

You agree to indemnify and hold harmless KKJM Tech Ltd., its officers, employees, directors, affiliates, and partners from any claims, liabilities, damages, losses, costs, or legal expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of applicable laws
• Your conduct toward other users

GamePro Live is a technology platform.

KKJM Tech Ltd. is not responsible for disputes between League Members, Officials, organizations, or third parties. We may, but are not obligated to, assist in resolving disputes.

KKJM Tech Ltd. shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including:

• Natural disasters
• Power failures
• Internet outages
• Government actions
• Labor disputes
• Public health emergencies
• Acts of war
• Cybersecurity incidents

We reserve the right to modify, suspend, discontinue, or enhance any feature of GamePro Live at any time without liability.

KKJM Tech Ltd. may revise these Terms periodically. Updated Terms become effective upon publication.

Continued use of the Platform constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law principles.

Any legal proceedings arising from these Terms shall be brought in the courts located in Ontario, Canada, unless otherwise required by applicable law.

These Terms, together with our Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and KKJM Tech Ltd. regarding your use of GamePro Live and supersede any prior agreements or understandings relating to the Platform.

By creating an account, checking the acceptance box during registration, or using GamePro Live, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

If you do not agree with these Terms, you must discontinue use of the Platform.
